Terms of Service

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into these Terms. The Service is not directed to, and may not be used by, individuals located in jurisdictions where participation in raffles, giveaways, or related promotions is prohibited by law.

HYPB Studio provides a platform that enables communities and project teams to create, host, manage, and participate in raffles, giveaways, allowlist drops, and similar promotional activities, including features that connect to third-party accounts such as X (formerly Twitter), Discord, and cryptocurrency wallets. We may modify, suspend, or discontinue any part of the Service at any time without notice or liability.

To access certain features, you must create an account or authenticate through a supported third-party provider. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

The Service allows you to link third-party accounts (such as X, Discord, or a crypto wallet) to verify eligibility and participate in promotions. By connecting an account, you authorize us to access and use the information made available to us by that provider in accordance with our Privacy Policy. Your use of any third-party service is governed by that third party's own terms and policies, and we are not responsible for the practices of any third party.

Raffles, giveaways, and promotions hosted on the Service are created and operated by the respective community or project organizers ("Organizers"), not by HYPB Studio, unless expressly stated otherwise. HYPB Studio provides the tooling to run these promotions but does not guarantee, sponsor, endorse, or administer any individual promotion, prize, or reward.

Organizers are solely responsible for the legality of their promotions, the accuracy of their eligibility requirements, the selection and notification of winners, and the delivery of any prizes or rewards. HYPB Studio is not responsible for any failure by an Organizer to deliver a prize or otherwise fulfill the terms of a promotion. You participate in any promotion at your own risk.

No purchase is necessary where prohibited by law. Where any promotion may constitute a lottery, sweepstakes, or contest under applicable law, the Organizer is responsible for ensuring full compliance with all applicable laws and regulations.

Nothing on the Service constitutes financial, investment, legal, or tax advice. Digital assets, tokens, and NFTs are highly volatile and risky. You are solely responsible for evaluating any digital asset and for any decision to participate in any promotion involving digital assets. HYPB Studio does not custody your assets and is not a broker, dealer, exchange, or financial institution.

You agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose;
• Create multiple accounts, use bots, scripts, or other automated means to enter promotions or gain unfair advantage;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
• Impersonate any person or entity, or misrepresent your affiliation;
• Upload or transmit malware, or violate the intellectual property or privacy rights of others;
• Engage in money laundering, sanctions evasion, or any activity prohibited by applicable law.

We may suspend or terminate your access for any violation of these Terms.

The Service, including its software, design, text, graphics, logos, and trademarks (including the "HYPB Studio" name and logo), is owned by HYPB Studio or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.

You retain ownership of content you submit to the Service. By submitting content, you grant HYPB Studio a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display that content as necessary to operate and provide the Service. You represent that you have all rights necessary to grant this license and that your content does not violate any law or third-party right.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPB STUDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

You agree to indemnify, defend, and hold harmless HYPB Studio and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, the rights granted to you under these Terms will cease, and provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada, for the resolution of any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
